This Agreement governs the rights and obligations between the user (hereinafter "you" or "user") and Meridian Labs Limited (hereinafter "Primit" or "we") in relation to payment for the data services provided through Primit [https://pipai.io] (including any successor or renamed website and any sub-domains), and has the force of a contract. Before paying for community services, you must read and fully understand this Agreement; if you do not agree to be bound by these service terms, you should stop paying the Primit community. By clicking to confirm on a web page or otherwise choosing to accept this Agreement, you are deemed to have carefully read the entire service terms, to know, understand, and accept them, and to agree that they serve as the basis for determining the rights and obligations of both parties. The service terms are legally binding on both you and Primit.

1. Service Description

1. Primit data services: data services in which Primit provides users with baseline data interfaces, as well as separately-offered specialty data, enhanced data, high-cost data, and other data services that require separate payment. These services provide factual data only, with no investment guidance or recommendation bias — please be mindful of investment risk.
2. Primit data bears no liability for losses caused by the conduct of third parties, including but not limited to quantitative-strategy platforms and trading tools, as well as network issues and the operation of any third party.
3. Primit provides a certain amount of free credit allowance to university students/teachers and community contributors — that is, free data services after identity is confirmed step by step. The specific allowance is subject to what is announced on the relevant pages.

2. Obtaining and Using the Services

2.1 Obtaining Services

1. Users must first register a Primit account, log in, and obtain the corresponding permissions through payment, enjoying the corresponding benefits within the validity period. Special reminder: with respect to data services, this should be the result of your careful evaluation, fully voluntary decision, and independent judgment.
2. After obtaining the relevant tier of credits/standalone permissions based on your evaluation, you have the right not to accept Primit data services and may apply to cancel the service, but you will not obtain a refund of the corresponding fees.
3. Users may not activate this service for themselves or others in any of the following ways:
   1. activating this service for themselves or others for profit-making, business operation, or other non-personal-use purposes;
   2. activating this service for themselves or others by any improper means or in a manner that violates the principle of good faith;
   3. activating this service for themselves or others by means not designated by Primit, including but not limited to peddling Primit accounts on internet platforms;
   4. activating this service for themselves or others in a manner that infringes the lawful rights and interests of Primit or others;
   5. activating this service for themselves or others in other ways that violate this Agreement or relevant laws, administrative regulations, national policies, etc.

2.2 Using Services

1. You are responsible for properly and correctly keeping, using, and maintaining the account, account password, and Token obtained through your Primit data application. You should take necessary and effective confidentiality measures for your account information and password. Primit bears no liability for any disclosure of your password not caused by Primit data, or for losses caused by your improper safekeeping, use, or maintenance.
2. Any service obtained through theft, exploitation of system vulnerabilities, or any non-official or unauthorized channel of Primit is not entitled to the protection under this Agreement. Primit is entitled to cancel and/or refuse to provide the service, and all resulting losses and liabilities are borne by the infringer.
3. No third party is authorized to sell or transfer the qualification to provide this service. Any sale or transfer of the relevant qualification without Primit's express authorization constitutes illegal sale or illegal transfer, and Primit is entitled to pursue legal liability.
4. When obtaining and using this service, you should do so through means published/authorized by Primit officially. This service (including but not limited to accounts, benefits, etc.) illegally obtained through other channels, means, or methods, or benefits obtained by participating in activities, is not entitled to the protection under this Agreement. Once discovered, Primit is entitled to immediately cancel the relevant service or take other account-management measures such as suspending or terminating service to that user, with all resulting losses and liabilities borne by the infringer.
5. Subject to your compliance with this Agreement and relevant laws, regulations, policies, public order, and good morals, this service is a personal, non-transferable, non-commercial, revocable, time-limited, and non-exclusive license granted to you by Primit. You must comply with all laws and regulations and the agreements reached with Primit, may use it only for non-commercial purposes, and may use it only for personal viewing.
6. You fully understand and agree that you must not provide your account to others for use in any manner, including but not limited to transfer, lease, lending, sharing, or sale. Otherwise, you bear any resulting legal consequences and liabilities, and Primit is entitled to suspend or terminate service to you.
7. You fully understand and agree that you should make your own judgment about the data content provided by this service, use it independently, make decisions independently, and bear all risks arising from the use of the content, including risks arising from errors or mistakes in the accuracy, completeness, or timeliness of information, data, and other content.

3. Service Content

1. The benefits provided by this service are data services consisting of a series of objective data. Data is for reference only, does not represent any investment tendency, does not constitute any investment advice, and Primit does not provide any investment consulting service. Meanwhile, limited by factors such as network technology, data sources, and Primit's processing capability and level, Primit cannot guarantee the accuracy, correctness, completeness, integrity, or timeliness of the data; all data, information, and various results after compilation and calculation are for reference only, and you bear any resulting losses yourself — Primit bears no liability.
2. Primit may, in light of changes to laws, regulations, and policies, or based on the overall planning of this service, changes in data copyright, etc., adjust the benefit details, tier standards, methods, etc. of this service (adjustment includes changing, canceling, reducing, or adding the corresponding content, the same below). Primit will notify you in advance on the relevant service page or by other reasonable means of such adjustments.
3. The term of this service is subject to the period you select and successfully pay for; this term is not extended due to your non-use or other conduct. If the service is not renewed upon expiration, Primit will cease to serve you. The maximum activation term of the service is subject to certain limits, as published on the relevant service page.
4. Please understand that, due to the special nature of internet services, there may be situations not caused by Primit's intentional conduct that may affect your normal use of the service; Primit will minimize the impact of such situations on you as far as possible.

4. Termination and Changes

1. If, due to a cause beyond Primit's control — such as policy action or force majeure — the service cannot continue, Primit will notify users as quickly as possible, but bears no liability for any losses thereby caused to users and will not refund fees.
2. If a user violates or is deemed to violate the content of these service terms, Primit is entitled to immediately terminate all your services without notice and without refund. If you find that you cannot log in or enjoy the service, you may consult customer support.
3. For changes that may occur to this Agreement or its rules (including but not limited to amendment of this Agreement, adjustment of service details, adjustment of benefits, etc.), Primit will notify you accordingly under this Agreement. Please read carefully and choose whether to continue using this service under the adjusted and/or amended Agreement/service details. If you agree to the above adjustments and/or changes, you may proceed by accepting the service or continuing to use it, indicating that you have accepted them; if you disagree, we recommend you stop using this service immediately. If you have any questions about the above adjustments and/or changes, you may consult customer support.

5. Liability for Breach and Disclaimers

5.1 Liability for Breach

1. While using this service, the following conduct will be deemed a breach — please pay particular attention:
   1. violating this Agreement;
   2. violating laws, regulations, rules, ordinances, or any normative provisions with legal effect;
   3. damaging or affecting Primit's provision of this service;
   4. engaging in conduct that endangers computer-network security;
   5. adversely affecting this service, or infringing upon and/or implicating the legitimate interests of third parties and/or other users;
   6. being found by the relevant authorities to have infringed the lawful rights and interests of any third party;
   7. using this service to obtain illegal benefits;
   8. other conduct infringing Primit's lawful interests.
2. Handling of breaches: Once Primit reasonably believes that a user has engaged in the above conduct, it is entitled, out of the necessity of maintaining network security, public order, etc., to terminate the provision of services to that user at any time without prior notice. If the service is suspended or terminated due to your breach, Primit need not refund any fees, and the losses are borne by you.
3. Indemnity: If your breach causes losses to Primit and its affiliates — including its own direct economic losses, goodwill losses, and indirect economic losses such as compensation, settlement payments, attorneys' fees, and litigation costs paid externally — you shall compensate Primit and its affiliates for all such losses. If your breach causes harm to any third party, you shall bear sole responsibility.

5.2 Disclaimers

1. You understand and agree that, whether the services are provided directly by Primit or by a third party, Primit cannot guarantee the timeliness, accuracy, or completeness of the data. All data and content are for reference only and do not constitute investment advice or any actual operational opinion; you are responsible for the consequences of any actions taken accordingly.
2. You understand and agree that Primit is not responsible for data provided by third parties. For data services provided by third parties, the content is provided and the responsibility borne by the third party; matters such as use and fees are explained by the third party and unrelated to Primit. The provision of such services does not mean Primit endorses the third party's methods or results of processing data, does not constitute investment advice or any actual operational opinion, and you are responsible for the consequences of any actions taken accordingly.
3. You understand and agree that Primit does not guarantee that this service will meet your requirements, nor that the service will always be stable or uninterrupted. The risks arising from or caused by your use of this service are entirely borne by you, including but not limited to situations where you are unable to use the service due to communication line failures, network or computer failures, system instability, force majeure, or other causes not attributable to Primit's subjective fault; Primit bears no liability.
4. Out of the necessity to meet compliance requirements or due to force majeure, Primit may modify, change, suspend, or terminate some or all of the services. In such cases, Primit will, as far as possible, notify you of the foregoing changes in advance. However, given the nature of the internet and the services, some changes cannot be notified, or notified in advance (including but not limited to: content that must be deleted or changed because it is illegal, non-compliant, or in breach of policy).

6. Miscellaneous

1. To the maximum extent permitted by law, Primit reserves the right of final interpretation of this Agreement and related policies, guidelines, and rules.
2. This Agreement is a living document. Primit is entitled to modify and update its content as needed for updates to relevant laws and regulations or for product operations; you should review it repeatedly to obtain the latest information.
3. If you have any questions about this Agreement, Primit hopes to provide you with a satisfactory solution; you may consult customer support.
4. If any provision of this Agreement is, for any reason, partially invalid or unenforceable, the remaining provisions remain valid and binding on both parties.
